Declaration of Ethics & Compliance Conduct

Declaration of Ethics and Compliance Management Practices

Dear HD Hyundai Electric employees,
Last year, we tried to achieve sustainable growth amid the uncertainty of the global economy and the rapidly changing regulatory environment, and reorganized the regulations and systems related to the operation of the Fair Trade Compliance Program (CP) to establish a fair and clean culture throughout our business activities.

Recent changes, however, such as increased surveillance of collusion and unfair subcontracting practices, EU-focused ESG disclosure and stricter due diligence related regulation, have been demanding a higher level of transparency and ethical responsibility for businesses.

In line with these changes, all our decisions must be in accordance with laws and principles, and there must be moral justification. All members of the company must adhere to the principles in their respective positions and act in a transparent and fair manner to strengthen its competitiveness.

Therefore, we need to practice ethics and compliance management more systematically and inspect and strengthen our internal control and management systems. Ethics and compliance are not just slogans but are the core management philosophy of our company and the basic principles that all executives and employees must practice. Our sustainable growth can only be achieved when all members keep this in mind, act responsibly and follow the principles in all tasks and judgments. We ask that you understand the value of ethics and compliance management and join us in practicing it.

As we welcome the new year, we once again ask for your active practice and cooperation for ethics and compliance management so that we can overcome the uncertain business environment and become HD Hyundai Electric that is loved and trusted by everyone.

Fair Trade Compliance Program
The Fair Trade Compliance Program, or Compliance Program (CP), is an internally established program to understand and encourage the company’s compliance with relevant Fair trade laws. It is a part of our diverse activities to enhance compliance management systems and corporate value. The Compliance Program has been implemented since April 2019 in accordance with the CEO's 'Declaration of Fair Trade Compliance Conduct' to become a more trusted company by strengthening activities to prevent violations of fair competition laws by employees and to eliminate any and all unethical business practices.
Targets of the Fair Trade Compliance Program and Responsibilities of Employees
This Compliance Program applies to all of our employees. All executives and employees of the company must comply with the Fair Trade Compliance Rules for their work, and if they have witnessed any violations of fair competition laws, they are required to report such activities to the Compliance Manager. All executives and employees must also review the possibility of violating fair competition laws in the performance of their duties and request advice and consultation from the Compliance Manager when in need.
Roles and Responsibilities of the Compliance Manager
The company has appointed a Compliance Manager by the resolution of the Board of Directors to ensure the successful establishment of the compliance program, and the Compliance Manager should establish and enforce the company's policies related to the Compliance Program by reflecting then revised Fair trade laws. For the smooth operation of the Compliance Program, the company has appointed a compliance assistant for each department to ensure full compliance with the Compliance Program. The Compliance Manager is obliged to inspect and monitor work performance and report to the Board of Directors. Furthermore, the Compliance Manager should assist employees to understand their duties and distribute a Fair trade compliance manual as well as establish a training plan for employees to provide training in the areas where there is potential risk of violations in order for the company to preemptively prevent possible violations in advance.
